Duties and Responsibilities:

· Management of Legal Department

· Engaging with Shareholders and facilitating associated processes

· Assisting HR Departments and Forums

· Monitoring and assisting SHEQ Compliance

· Planning and Implementation of sensitive Group-wide Projects.

· Registration/Maintenance and Protection of all Intellectual Property

· Ensure Compliance with Legislation Applicable to the Services Industry (S.Africa

· and Africa)

· Risk Assessment & Opinions (S.Africa and Africa)

· Strategic Planning & Implementation

· Representation at enquires before regulatory authorities/forums.

· Representation at arbitration/facilitation proceedings.

· General Public Relations Duties (S.Africa and Africa)

· Legal Advice/Assessments/Negotiation in M&A Processes

· (S.Africa and Africa)

· Drafting of M&A Agreements (S.Africa and Africa)

· Legal Advice to the Executive of 16 divisions, 60 further Executives, 100 Senior

· Managers, 200 Middle Managers, and general staff complement of 24,000

· Drafting of Legal Opinions (S.Africa and Africa)

· Vetting of all Agreements, including supplier, acquisition, license, employment,

· and client agreements. (S.Africa and Africa)

· Company Liaison with External Contractors and Attorneys (S.Africa and Africa)

· Participation in Financial/Budget Planning

· Monitoring & Updating of Company Policies and Procedures (S.Africa and Africa)

· Assisting with Employment Equity Planning & Implementation

· Negotiations and Settlements (S.Africa and Africa)

· Union Negotiations and Dispute Resolution

· Participation on Sustainability Committee

· Engaging and Negotiating with Financers and Investors

· Administering and Facilitating Debt Funding Arrangements (ZAR1.25 Billion)

· Company Secretarial Duties

· Monitoring of Property Portfolio (both leased and owned)

Required Skills
project finance: 10 years or more
llb : 10 years or more
Merger and Acquisitions: 10 years or more

Candidate Requirements

Requirements:

· Completed Articles and LLB Degree

· 10 or more years’ experience as a Legal Advisor /Legal Director /Corporate Lawyer

· Experience working in large corporate companies

· Experience in Project Finance

· Experience in Due Diligence and Merger and Acquisitions
